1) Who we are

AI Chatbot Solution, L.L.C. ("AICS," "we," "us," or "our") is a Utah company based in Orem, Utah, USA. We provide CRM management, AI voice-agent/chatbot builds and maintenance, and 1‑to‑1 AI consultations.

2) Acceptance of these Terms

By accessing our website or engaging our services, you agree to these Terms. If you’re entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

3) Eligibility

Our site and services are intended for individuals 13 years or older. If you are under 13, do not use the site or provide personal information.

4) Services Overview

  • Subscriptions: Most services are subscription-based (e.g., CRM management, maintenance, reporting).

  • One-time: Some services (e.g., AI education/consultations) may be purchased one-time.

  • Service Agreement: Some engagements require a separate written Service Agreement or Statement of Work (SOW). If there’s a conflict, the Service Agreement/SOW controls.

5) Orders, Payments & Refunds

  • Payment methods: We invoice and process payments via Stripe and/or GoHighLevel (GHL). We accept common electronic methods (credit/debit cards, ACH/bank transfer when available).

  • Money-back guarantee: If a subscription is canceled within the first 90 days, we will refund service fees paid during that period (third‑party costs and pass‑through fees are excluded). After 90 days, refunds are at our discretion.

  • Recurring billing: Subscriptions renew monthly unless canceled in accordance with these Terms or your Service Agreement/SOW.

  • Late/non‑payment: We may assess late fees, suspend services for overdue balances, and terminate for continued non‑payment. You remain responsible for third‑party platform costs connected to your account.

  • Non‑refundable months: Monthly subscription fees are generally non‑refundable once a billing period begins (unless covered by the 90‑day guarantee above or required by law).

  • Disputes: Please notify us in writing of any billing dispute within seven (7) days of the charge so we can investigate.

Note: When a signed Service Agreement exists, its payment, guarantee, late‑fee, dispute, termination, and Utah law/venue provisions govern. These Terms are intended to align with that agreement.

6) Your Responsibilities

  • Provide accurate information, access, and timely feedback needed to perform the services.

  • Comply with all applicable laws and third‑party platform terms (e.g., GHL, Voiceflow, Vapi, Make.com, n8n, Calendly, OpenAI).

  • Maintain appropriate security for your systems and data.

7) Intellectual Property & Use Restrictions

  • AICS pre‑existing IP: Our methods, templates, scripts, automations, and know‑how remain ours.

  • Work product: Deliverables we create for you remain AICS property unless a written agreement assigns them to you after full payment. We may reuse non‑client‑specific components (e.g., frameworks, snapshots, agent configurations).

  • Third‑party IP: You’re responsible for any licenses for third‑party content you supply. Stock/AI images on our site are licensed or AI‑generated.

  • No resale/reuse: You may not resell, sublicense, or publish our deliverables or internal tools unless expressly permitted in writing.

  • Prohibited conduct: No reverse‑engineering, scraping, circumvention of fees, security testing without permission, or unlawful/abusive use of our site or services.

8) Third‑Party Platforms & Integrations

We integrate with or rely on third‑party tools (e.g., Stripe, GHL, Voiceflow, Vapi, Make.com, n8n, Calendly, OpenAI, hosting providers). Their features, pricing, availability, and policies may change, and outages or changes are outside our control. You must comply with their terms, and those providers may process your data under their own privacy policies.

9) Disclaimers

Our website and services are provided “as is” and “as available” without warranties of any kind (including merchantability, fitness for a particular purpose, non‑infringement, or uninterrupted/ error‑free operation).

10) Limitation of Liability

To the maximum extent permitted by law, AICS is not liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability is limited to the amounts you paid to AICS for the service giving rise to the claim in the 6 months before the event.

11) Indemnification

You agree to indemnify and hold AICS harmless from claims arising out of: (a) your breach of these Terms; (b) your misuse of the services; (c) materials you provide; or (d) your violation of law or third‑party rights.

12) Termination

We may terminate or suspend access for any material breach (including non‑payment). You may terminate per your agreement or by canceling at least 30 days before the next monthly renewal unless otherwise stated in your SOW.

13) Force Majeure

We are not responsible for delays or failures due to events beyond our reasonable control (e.g., Internet/hosting outages, third‑party platform changes or downtime, strikes, natural disasters).

14) Governing Law & Venue

These Terms are governed by Utah law. Exclusive venue for disputes is in state or federal courts located in Utah County, Utah. Each party consents to personal jurisdiction in those courts.

15) Changes to These Terms

We may update these Terms at any time. If changes are material, we will post the new Terms and update the “Last updated” date. Continued use of the site/services after changes means you accept them.

17) SMS Program Terms (A2P 10DLC)

Program name: AICS Alerts (recurring).

Description: With your consent, we send transactional messages (e.g., appointment reminders, service updates) and, if you opt in, occasional marketing messages about AICS services.

Opt‑in methods:

  • Web forms with an unchecked consent box and clear disclosure (see sample below).

  • Texting a keyword (e.g., JOIN) to our number(s) listed on the site.

  • Verbal or written consent during sales/onboarding calls (we record date, time, and source).

Message frequency: Recurring; frequency varies by user activity.

Fees: Message & data rates may apply.

Help/Stop: Text HELP for help. Text STOP to cancel. We also honor common opt‑out words recognized by carriers (e.g., STOP, END, CANCEL, UNSUBSCRIBE, QUIT, STOPALL, OPTOUT, REVOKE). You may restart by texting START or UNSTOP where supported.
